Encapsulation, Custodial, Grading, and Storage Services Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer” or “you”) and M1NT Inc, a Delaware C-Corp (“M1NT,” “we,” “us,” or “our”).

By checking the acceptance box and completing your order, you agree to be bound by these Terms.

1. Scope of Services
M1NT provides encapsulation products and services, optional third-party grading coordination, and optional storage services. M1NT does not purchase or assume ownership of submitted items.

2. Submission and Shipping
Customer is responsible for adequate protective packaging, carrier selection, insurance during shipment to M1NT, and accurate declared value. Risk of loss remains with Customer until intake confirmation by M1NT.   

Insurance and Shipping Acknowledgment.
By completing this purchase, Customer acknowledges responsibility for insuring the item during shipment to M1NT. Return shipment will be insured up to the Customer’s Declared Value and remains subject to carrier terms, exclusions, and limitations. Customer understands that additional shipping, insurance, customs, duties, taxes, or handling fees may apply depending on declared value and destination.

All fees paid to M1NT are non-refundable once submitted. All fees are charged regardless of outcome of any service outlined, including authentication, grading and encapsulation. 

3. Intake Documentation
In the ordinary course of M1NT’s operations, we: (i) compile data regarding each item submitted for authentication/grading, including data relating to the identity, production, condition and grade of the item (“Data”); and (ii) may capture photographic and video recordings of each submitted item (“Images”). Intake Data and Images constitute the official record of condition upon receipt. You hereby authorize M1NT to compile and maintain the Data and acknowledge that M1NT will be the owner of the Data and all Images and that M1NT may use and exploit the Data and Images for commercial and any other purposes, as M1NT in our sole discretion deems appropriate, including, but not limited to, the publication and republication or reproduction in or on any media, of such Data and Images. Without limitation, you hereby transfer, convey and assign to M1NT any and all rights, title and interest (including copyright, trademark or trade secret) that you have in the Data and Images..

4. Declared Value and Tiered Structure
Declared Value determines service tier, pricing, insurance allocation, and maximum liability. M1NT may adjust or decline service if valuation is inaccurate. Maximum per-item liability shall not exceed $5,000.

5. Third-Party Grading
If selected, items may be submitted to independent grading providers. Grading is subjective and no outcome is guaranteed. You understand that a grade is merely an opinion, based on the independent graders’ review and the graders’ current grading standards at the time grading occurs. You have no cancellation or refund rights based upon any disagreement with the grade assigned to the item.

6. Post-Grading Valuation
M1NT liability is based solely on the Accepted Declared Value at intake. Market fluctuation or grading outcomes do not increase liability.

7. Inspection Upon Receipt
Upon receipt of your item from M1NT, you must inspect all items and report any damage or inconsistency to M1NT within five (5) days of receipt. Failure to notify M1NT within such five (5) days shall be deemed full acceptance of the item.

8. Limitation of Liability
M1NT shall have no liability whatsoever for any damage to or loss of any items, unless it can be reasonably demonstrated to have occurred while in M1NT’s custody or control. If your submitted item was lost or damaged while in M1NT’s possession, your sole and exclusive remedy will be compensation based upon the lower amount of: (a) the Fair Market Value of the submitted item as determined by M1NT’s standard valuation procedures, which may include filing a claim with M1NT’s insurance carrier; or (b) the insurance proceeds based upon your Declared Value at the time of submission. Your Declared Value is used for determining insurance cost of the return shipment and the maximum amount that can be claimed for damage or loss in shipment for any item. Fair market value for any ungraded item submitted for grading and/or authentication services will be based on the raw ungraded value at the time of submission. IN NO EVENT SHALL M1NT’S TOTAL LIABILITY EXCEED THE FAIR MARKET VALUE OF THE ITEM. Consequential and speculative damages are waived.

9. Inadequate Payment or Information
If full payment or current contact information is not received for a submitted item within one (1) month from M1NT’s receipt of the item (“Abandoned Item”), M1NT shall make a reasonable effort to contact you by phone or email based on the contact information submitted by you, but if full payment and/or correct contact information is not received within one (1) months, M1NT shall not be responsible for returning the Abandoned Item. M1NT is hereby authorized to use, keep, destroy, discard, transfer, sell, donate, or gift an Abandoned Item and retain any proceeds received therefrom.

10. Return Shipping
Risk transfers to Customer upon delivery to shipping carrier. Customer shall select and procure return insurance at Customer cost.

11. Dispute Resolution
Before initiating arbitration, Customer must provide written notice and allow thirty (30) days for informal resolution. Any dispute shall be resolved by binding arbitration in Orange County, California under AAA rules, governed by California law.

12. Time Limitation
Any claim must be brought within one (1) year after the event giving rise to the claim.

13. Indemnification
Customer agrees to indemnify M1NT for claims arising from misrepresentation, illegality, or ownership disputes.

14. Force Majeure
M1NT is not liable for events beyond reasonable control including natural disasters or carrier disruptions.

15. Entire Agreement
These Terms constitute the entire agreement between Customer and M1NT.

15. All Sales Final
All M1NT Case G1 sales are final.

By checking the acceptance box and completing purchase, Customer confirms agreement to these Terms.
