Encapsulation, Custodial, Grading, and Storage Services Agreement

1. Scope of Services

M1NT provides encapsulation, custodial handling, grading coordination, and storage services. M1NT does not assume ownership of submitted items. For purposes of these Terms, "G1 service fee" means the base price paid by Customer for the G1 encapsulation service at checkout, exclusive of grading upcharges, shipping, insurance, taxes, and any other charges. All percentage-based fees under these Terms are calculated on the G1 service fee.

2. Submission; Shipping; Risk of Loss; Return Coordination

Customer is responsible for shipment, insurance, and declared value. Risk remains with Customer until intake is completed by M1NT. Return shipping and fees are invoiced and must be paid prior to release. M1NT will not release items until all balances are paid. M1NT may assist with carrier claims but does not guarantee recovery. Risk transfers upon carrier handoff.

3. Intake Documentation and Handling

M1NT documents condition via photo/video upon intake. Items remain in protective sleeves where practicable. Handled by trained personnel using industry standards.

4. Custodial Status

M1NT acts as bailee for hire and is not an insurer.

5. Declared Value; Service Tiers; Post-Grading Adjustments

M1NT assesses fair market value at intake. Declared Value may be adjusted at M1NT discretion. Third-party grading fees may be passed to Customer. M1NT retains final authority on valuation. Liability is governed by Section 9.

6. Third-Party Grading Services

Grading outcomes are subjective and not guaranteed.

7. MBA Grading Fees, Shipping & Insurance

The cost of M1NT's expedited grading service through Mike Baker Authenticated (MBA) is included with your submission and covers cards with a Fair Market Value (FMV) of up to $2,000. MBA's expedited grading turnaround is estimated at five (5) business days.

Grading turnaround times are estimates only and are not guaranteed. Estimated timelines are stated in business days, exclude weekends, holidays, and office closures, and do not begin until the item has been received and logged in by MBA. Timelines may vary and are subject to change for reasons outside of M1NT's control, including MBA submission volume and staffing, carrier transit times and delays, customs processing, and other third-party or force majeure events. M1NT does not guarantee any specific completion, release, or delivery date, and M1NT is not liable for any delay in grading, encapsulation, or return shipment.

Cards determined by MBA to have a Fair Market Value exceeding $2,000 may be subject to additional grading fees or value-based upcharges. Any such fees assessed by MBA will be advanced by M1NT and subsequently billed to the customer. These charges will be itemized on the customer's final invoice and are calculated at a rate of 3% of the card's Fair Market Value above the $2,000 threshold, as determined by MBA.

Upon completion of grading and encapsulation services, customers will receive a final invoice for return shipping and insurance. Standard shipping and insurance coverage will be applied based on the declared value of the card and selected service level.

Customers requesting additional insurance coverage, expedited shipping, signature confirmation, or any other shipping services beyond M1NT's standard shipping and insurance options must notify M1NT by replying to their final invoice email with their requested instructions. Any additional costs associated with such requests will be added to the final invoice prior to shipment.

All grading fees, value-based upcharges, shipping charges, and insurance costs must be paid in full before the graded card and completed G1 encapsulation will be released for return shipment.

If, for any reason, the G1 encapsulation process is not completed, or the customer elects not to proceed with grading, encapsulation, or completion of the G1 service after submission, the customer may request a refund of the original G1 purchase price. In such cases, the customer remains responsible for all grading fees, return shipping charges, insurance costs, and any other third-party expenses incurred by M1NT in connection with the submission. These costs will be deducted from the original purchase price of the G1 service prior to the issuance of any refund. Once all applicable fees and expenses have been calculated and deducted, the remaining balance of the customer's original purchase price will be refunded to the original payment method, subject to M1NT's refund approval process. No refund will be issued for grading services, shipping charges, insurance costs, or other expenses that have already been incurred on the customer's behalf. Where an item has been evaluated and assigned a grade by MBA, Sections 7.1 through 7.3 control over this paragraph to the extent of any conflict.

7.1 Grading Completed; Election Not to Proceed.

Where MBA has evaluated and assigned a grade to a submitted item and the Customer thereafter elects not to proceed with G1 encapsulation, whether because the assigned grade falls below a minimum grade designated by the Customer at or before submission or for any other reason, the grading service shall be deemed performed and billable. In such cases M1NT will return the item to the Customer and refund the G1 service fee less: (i) a grading fee of fifty dollars ($50.00) per item; (ii) all return shipping and insurance charges incurred by M1NT; and (iii) a service and handling fee equal to ten percent (10%) of the G1 service fee. The remaining balance will be refunded to the original payment method, subject to M1NT's refund approval process.

7.2 Minimum Grade Designations.

A Customer may designate a minimum grade at or before submission by entering the designation in the order notes at checkout or by written notice to contact@m1ntaverse.com. Where a minimum grade has been designated on a previously encapsulated (slabbed) item and MBA's assigned grade falls below that minimum, the original holder will not be opened and the item will be returned to the Customer in the condition in which it was received, subject to the deductions set forth in Section 7.1. Where a minimum grade has been designated on a raw item and MBA's assigned grade falls below that minimum, M1NT will proceed with encapsulation and the item will be etched in accordance with M1NT's then-current below-minimum designation policy unless the Customer has elected return in lieu of encapsulation in the same manner and within the same timeframe provided for minimum grade designations above. Minimum grade designations are not effective if received after an item has been submitted to MBA for grading. Designation of a minimum grade controls only the markings applied to the G1 and does not affect the grade recorded in MBA's registry.

7.3 Withdrawal Prior to Grading.

A Customer who cancels prior to shipping an item to M1NT will receive a full refund of the G1 service fee. A Customer who elects not to proceed after an item has been received by M1NT but before that item has been submitted to MBA for grading will receive a refund of the G1 service fee less return shipping and insurance charges actually incurred by M1NT. The grading fee and service and handling fee set forth in Section 7.1 do not apply where no grading service has been performed.

8. Post-Grading Valuation and Market Risk

Grading outcomes and subsequent changes in market value do not increase M1NT's liability above the limits set forth in Section 9. For purposes of Section 9(ii), fair market value is determined as of the date of intake and is not adjusted upward as a result of grading, encapsulation, or market movement occurring thereafter.

9. Limitation of Liability

M1NT's total liability for any loss of, damage to, or destruction of a submitted item shall not exceed the lesser of: (i) the Declared Value of the item as determined under Section 5; (ii) the fair market value of the item at the time of loss; or (iii) the amount actually recovered by M1NT under any applicable insurance policy. In no event shall M1NT's liability exceed fifty thousand dollars ($50,000) per item. In no event shall M1NT be liable for indirect, incidental, consequential, punitive, or speculative damages, including lost profits, lost appreciation, or diminution in market value.

10. Storage Services; Fees; Retention and Abandonment

30 days free storage post-completion. Fees may apply after 30 days. Items unclaimed after 90 days may be deemed abandoned. M1NT may enforce lien or dispose of property.

11. Return Shipping

Customer selects shipping and insurance. Risk transfers at carrier handoff. (See Section 7 for fee, invoicing, and payment-before-release terms.)

12. Dispute Resolution; Arbitration

30-day notice required before arbitration. AAA arbitration in California under Delaware law.

13. Time Limitation for Claims

Claims must be brought within one year.

14. Indemnification

Customer indemnifies M1NT for ownership, legality, or valuation disputes.

15. Force Majeure

No liability for events beyond control.

16. Entire Agreement

These Terms represent the full agreement.

17. Final Sale Policy; Post-Encapsulation Requests

All sales final upon receipt of item, except as provided in Sections 7, 7.1, 7.2, and 7.3 (MBA Grading Fees, Shipping & Insurance) for submissions not completed. No refunds due to custom nature. Removal requests require return at Customer expense. M1NT will attempt removal but assumes no additional liability. Customer responsible for all associated costs.

18. Customer Communications and Records

M1NT retains records of all customer communications, including but not limited to emails, messages, and other correspondence, in connection with Services provided. Such records may be maintained as part of M1NT's business records and may be relied upon in the event of any dispute, claim, or inquiry. Customer acknowledges and agrees that M1NT may use such records as evidence in support of its position in any dispute resolution process, to the fullest extent permitted by applicable law.

19. Promotional Use

Customer grants M1NT a non-exclusive, perpetual, worldwide, royalty-free, sublicensable license to photograph, film, record, reproduce, and publish images, video, and other depictions of the encapsulated item and the finished G1, together with the associated card metadata (player, year, set, grade, certification number, and similar identifiers), for any M1NT promotional, marketing, editorial, or commercial purpose, across any media now known or later developed, including M1NT-owned channels and third-party partner channels. Customer waives any right to inspection, approval, or compensation in connection with such use. This license does not extend to Customer's personal name, image, or likeness, which M1NT will use only with separate written consent.

20. Third-Party Financing (Shop Pay Installments)

M1NT offers Shop Pay Installments as an optional payment method at checkout. Shop Pay Installments is a financing service provided by Affirm, Inc. ("Affirm"), not by M1NT. M1NT is not a lender, creditor, or party to any loan or installment agreement between Customer and Affirm.

Eligibility, approval, credit limits, down payment requirements, payment schedules, interest rates, and annual percentage rates (APR) are determined solely by Affirm and are subject to Affirm's terms, conditions, and consumer disclosures, which Customer should review before selecting this option. Financing options may include interest-free installments or interest-bearing monthly plans depending on the purchase amount and Affirm's underwriting, and available rates may range from 0% APR to the maximum permitted by applicable law. Not all customers or orders will qualify, and availability may change without notice.

When Customer elects to pay via Shop Pay Installments, M1NT receives payment in full at the time of purchase. Customer's obligation to repay Affirm is separate from, and independent of, Customer's agreement with M1NT. Selecting Shop Pay Installments does not modify, waive, or affect any provision of these Terms, including without limitation the Final Sale Policy (Section 17) and all grading fees, value-based upcharges, shipping and insurance charges, and payment-before-release conditions (Section 7).

Any refund M1NT approves will be processed in accordance with these Terms (including Sections 7 and 17) and returned through the original Shop Pay Installments/Affirm transaction. The amount, timing, and application of any refund to Customer's Affirm balance are governed by Affirm's policies. A refund from M1NT does not cancel, reduce, or otherwise affect Customer's outstanding obligations to Affirm except to the extent Affirm applies the returned funds. M1NT is not responsible for any interest, fees, or charges assessed by Affirm.
